Terms of Service

These Terms of Service (“Terms”) govern your use of the Atomaxis website at https://atomaxis.cloud and the services, consultations, quotations, and production-management arrangements provided by Atomaxis (“Atomaxis”, “we”, “us”, or “our”).

Atomaxis is currently operated as an unregistered technology and engineering business based in Bhubaneswar, Odisha, India.

By using our website, submitting an enquiry, requesting a consultation, requesting a quotation, or engaging our services, you agree to these Terms.

If you do not agree with these Terms, please do not use the website or services.

1. About Atomaxis

Atomaxis is a technology, engineering, and innovation business.

Our current Atomaxis Vector offering focuses on cloud infrastructure and production engineering, including infrastructure setup, deployment, monitoring, security, backups, maintenance, scaling, and production support.

Atomaxis may introduce additional technology, AI, automation, software engineering, and other services in the future.

Our future broader company website is intended to be available at https://atomaxis.tech.

2. Website Use

You may use the Atomaxis website for legitimate business, informational, consultation, and service-related purposes.

You must not:

  • Use the website for unlawful purposes
  • Attempt to gain unauthorized access to our systems
  • Introduce malware, malicious code, or harmful software
  • Abuse or disrupt website infrastructure
  • Use the website for spam or fraudulent activity
  • Attempt to interfere with the security or operation of the website
  • Use our materials or branding in a misleading manner

We may restrict or terminate access where we reasonably believe the website is being misused or subjected to a security threat.

3. Services and Quotations

Atomaxis services are generally provided through consultation and customized quotation rather than direct online purchase.

Information displayed on our website, including service descriptions, examples, infrastructure information, and estimates, is provided for general informational and planning purposes.

A quotation, proposal, scope of work, or service agreement issued by Atomaxis may contain additional or different terms.

Where a signed agreement or accepted quotation conflicts with general website information, the specific agreement will normally govern the customer engagement.

4. AI Production Planner

The AI Production Planner provides preliminary infrastructure and cost guidance based on the information entered by the user.

Planner results are indicative only and do not constitute a binding quotation, guaranteed infrastructure configuration, or commitment to provide services at the displayed price.

Actual infrastructure requirements and pricing may change after technical review based on workload, architecture, cloud-provider pricing, region, traffic, storage, databases, integrations, availability requirements, security requirements, and other technical factors.

The planner may also be updated over time as our infrastructure models and pricing assumptions change.

5. Cloud Infrastructure

Atomaxis may provide infrastructure powered by Microsoft Azure or other cloud platforms and infrastructure providers.

Infrastructure availability, features, pricing, network connectivity, regional availability, and other characteristics may depend on the relevant provider.

Atomaxis will make reasonable efforts to design and manage production infrastructure responsibly, but third-party infrastructure providers may experience outages, service degradation, maintenance events, pricing changes, regional incidents, or other circumstances outside Atomaxis's direct control.

Atomaxis is responsible for the infrastructure and production components that are within the agreed scope of our services.

6. Production Management

Where a customer engages Atomaxis for managed production services, we may manage agreed production components including:

  • Cloud infrastructure
  • Application deployments
  • Docker and container environments
  • Databases
  • Monitoring and alerts
  • Security configuration and updates
  • Backups and recovery
  • Performance optimization
  • Scaling
  • Third-party APIs and external services
  • DNS and SSL
  • Other production components specifically included in the agreed scope

The exact responsibilities of Atomaxis and the customer are determined by the applicable quotation, service agreement, or statement of work.

7. Application Responsibilities

Unless specifically agreed otherwise, Atomaxis does not assume responsibility for developing or correcting application features or application-level bugs.

We may diagnose production issues and assist with infrastructure-related causes, deployment issues, configuration problems, and operational failures within our agreed scope.

Application code changes, feature development, major application rewrites, or significant architectural changes may require separate engineering work and may be charged separately.

8. Third-Party Services

A customer may use third-party services such as:

  • Payment gateways
  • SMS providers
  • Email providers
  • External APIs
  • Analytics services
  • Domain providers
  • Cloud services
  • CDN services
  • Other integrations

Atomaxis may configure, maintain, monitor, or assist with these services where included in the agreed scope.

Third-party subscription charges, usage charges, API charges, licensing costs, or provider fees are generally separate from Atomaxis management fees unless expressly included in a quotation or agreement.

Changes, outages, pricing, limitations, or failures of third-party services may affect the customer's application.

9. Access to Customer Systems

Where a customer engages Atomaxis for managed services, the customer may authorize Atomaxis to access relevant cloud infrastructure, applications, databases, credentials, secrets, monitoring systems, or other production components.

Atomaxis will use such access for legitimate service-related purposes and will take reasonable measures to protect access credentials and production systems.

Access should be limited to the scope necessary to perform the agreed services.

10. Customer Responsibilities

Customers remain responsible for:

  • Providing accurate project and technical information
  • Maintaining lawful rights to their applications and content
  • Maintaining control over business decisions and application requirements
  • Paying applicable third-party charges where required
  • Cooperating with reasonable troubleshooting and security requests
  • Providing information and access necessary to perform agreed services
  • Ensuring that their application and business activities comply with applicable law

Customers must not intentionally use Atomaxis-managed infrastructure for illegal, malicious, fraudulent, abusive, or harmful activity.

11. Prohibited Use

Atomaxis does not permit use of our services for:

  • Illegal activity
  • Malware or malicious software
  • Phishing or credential theft
  • Spam
  • Fraud
  • Unauthorized access
  • Abusive attacks against systems or individuals
  • Activities intended to disrupt or damage infrastructure

We may suspend or terminate services where continued use presents legal, security, operational, or reputational risk.

12. Security Incidents

Atomaxis aims to monitor and maintain managed production environments responsibly and will take reasonable steps to investigate and respond to security or availability incidents within our scope.

Where an incident affects a customer's managed environment, we will communicate material information to the customer as reasonably appropriate.

However, no infrastructure environment can be guaranteed to be immune from security incidents, service interruptions, or failures.

13. Backups and Recovery

Where backups are included in a service, Atomaxis will implement the backup approach specified in the applicable service scope.

Backups are intended to reduce data-loss risk but do not guarantee that every possible failure or data-loss scenario can be prevented.

Recovery objectives, retention periods, backup frequency, and disaster-recovery arrangements may vary between projects and should be confirmed in the relevant service agreement.

14. Availability and Service Levels

Atomaxis does not provide a universal uptime guarantee through these website Terms.

If a customer requires a specific service-level commitment, response target, uptime commitment, or recovery objective, such requirements should be expressly included in the customer's applicable agreement or SLA.

We will make reasonable efforts to operate and maintain services within the agreed scope.

15. Maintenance

Production maintenance may include security updates, operating-system updates, dependency updates, configuration changes, performance improvements, infrastructure adjustments, and other operational work.

Some maintenance may require planned downtime, service restarts, rolling updates, or changes to infrastructure.

Where reasonably practical, planned maintenance will be communicated in advance.

16. Fees and Payment

Atomaxis may charge one-time, monthly, annual, or project-specific fees depending on the agreed service.

Cloud infrastructure and third-party service charges may be included in Atomaxis's billing or may be charged separately depending on the project arrangement.

Customers will be informed about applicable charges before they become payable where reasonably practical.

Payments may be collected through payment methods such as Razorpay payment links or other agreed methods.

17. Refunds and Cancellation

Refunds and cancellation rights depend on the applicable quotation, service agreement, payment arrangement, and nature of the service.

Any notice period for cancellation will be specified in the customer's applicable agreement.

Where a customer terminates a managed service, Atomaxis may require reasonable cooperation to transfer infrastructure, access, documentation, domains, or other production components where such transfer is included in the agreed scope.

18. Intellectual Property

Unless otherwise agreed:

Atomaxis retains ownership of its own branding, website, internal tools, reusable infrastructure methods, automation systems, templates, frameworks, documentation, and other pre-existing intellectual property.

Customers retain ownership of their own application code, data, content, domains, and other customer-owned materials, subject to rights necessary for Atomaxis to provide the agreed services.

Any ownership or licensing arrangement that differs from these general Terms should be documented in the applicable customer agreement.

19. Client Names, Logos, and Case Studies

Atomaxis may wish to use customer names, logos, testimonials, or project information for marketing purposes.

We will obtain appropriate permission before publicly identifying a customer or using their branding.

Atomaxis may publish anonymized case studies where the information does not reasonably identify the customer, unless otherwise agreed.

20. Third-Party Dependencies

Atomaxis services may depend on third-party infrastructure, cloud platforms, APIs, domains, networks, payment providers, software packages, and other systems.

Atomaxis is not responsible for failures caused solely by a third-party provider or event outside our reasonable control.

Where such a failure occurs, Atomaxis will make reasonable efforts to diagnose the issue, communicate relevant information, and assist with recovery within the agreed scope.

21. AI-Generated Information

Some future Atomaxis tools or services may use artificial intelligence.

AI-generated recommendations, estimates, summaries, or operational suggestions may contain errors and should not be treated as a substitute for appropriate engineering or professional review.

Where AI is used in production operations, Atomaxis may combine automated analysis with human engineering oversight.

22. Disclaimer of Certain Guarantees

Except where expressly agreed in writing, Atomaxis does not guarantee that:

  • Every application will be continuously available without interruption
  • Every third-party provider will remain available
  • Every infrastructure estimate will exactly match actual cost
  • Every application issue can be resolved without customer involvement
  • Every security incident can be prevented
  • Every deployment will be successful on the first attempt
  • Every third-party API or external service will operate without interruption

We do, however, aim to design, deploy, monitor, maintain, and support managed environments responsibly and professionally.

23. Professional Services

Where a customer requests additional engineering, development, migration, architecture, optimization, or similar work outside the normal managed-service scope, Atomaxis may provide a separate quotation or agreement.

Any additional work should be approved before significant chargeable work begins, where reasonably practical.

24. Suspension and Termination

Atomaxis may suspend or terminate services where:

  • Required payments remain unpaid
  • The customer materially breaches the applicable agreement
  • The environment presents a significant security risk
  • The services are being used for prohibited or illegal activity
  • Continued service would create an unreasonable legal or operational risk

Where appropriate, Atomaxis will provide reasonable notice and an opportunity to address the issue.

Immediate suspension may be necessary where security, safety, legal compliance, or infrastructure integrity requires it.

25. Limitation of Responsibility

Atomaxis will be responsible for losses directly caused by its failure to perform agreed services to the reasonable standard applicable to those services, subject to the terms of the applicable agreement.

Atomaxis will not be responsible for losses caused solely by events outside its reasonable control, including third-party cloud-provider failures, internet outages, third-party API failures, customer actions, application defects outside our scope, inaccurate information supplied by the customer, or force-majeure events.

Any specific limitation of liability, cap, exclusion, or indemnity applicable to a customer engagement should be agreed separately in the applicable contract.

26. Changes to Services and Terms

Atomaxis may modify, expand, or discontinue website features and services as the business develops.

We may also update these Terms from time to time.

The latest version will be published on this page with an updated effective date.

For material changes, we may provide notice through reasonable channels where appropriate.

27. Governing Law and Disputes

These Terms are intended to be governed by the laws of India.

For disputes relating to these Terms or Atomaxis services, the parties should first attempt to resolve the matter through good-faith discussion and negotiation.

If the matter cannot be resolved through negotiation, the parties may pursue the remedies available under applicable Indian law, including appropriate legal proceedings in the applicable jurisdiction in Odisha.

Specific contracts may contain additional dispute-resolution, jurisdiction, or arbitration provisions.
